The SAFE (Signal Alert for Education) System® is designed to allow users to signal an emergency to other users within Customer facilities. It is not intended to be a life-saving device, does not prevent emergencies, does not detect emergencies on its own, and does not notify Audio Enhancement. It does not notify law enforcement or emergency services unless explicitly configured by Customer to do so. Audio Enhancement is not responsible or liable to the Customer for any damage or harm caused by the system not functioning properly if the failure is caused by errors or delay in the Customer’s third-party network or equipment. Audio Enhancement is also not responsible or liable to the Customer for any damage or harm caused by the system not functioning properly if the failure is caused by the Customer’s failure to properly care for, maintain, and/or repair the system, or for any delays in performing any service or maintenance, regardless of the reason(s), or for any resulting consequences. Audio Enhancement does not monitor the SAFE System or the alerts it generates. No Audio Enhancement employee watches for, receives, or responds to SAFE Alerts or Lockdown events. The SAFE System notifies only the users within Customer facilities that Customer has configured. Customer is solely responsible for monitoring and responding to alerts and for maintaining Customer’s own emergency-response procedures. Customer agrees that the absence of any monitoring, detection, notification, or response activity by Audio Enhancement or its agents is not a failure of the SAFE System or the Software Platform to function properly and is not negligence of Audio Enhancement. In the event of misuse or malfunction of the SAFE System or any of its components, Audio Enhancement, its agents, employees, subsidiaries, affiliates and parent companies are exempt from liability for any loss, damage, injury or other consequence arising directly or indirectly therefrom.
